1. Agreement and authority
These Terms of Use and End-User License Agreement (the “Terms”) are a binding agreement between you and Global CFO Accounting Consulting LLC. By creating an account, accepting an invitation, connecting a third-party service, or using the portal, you agree to these Terms. If you use the portal for an organization, you represent that you are authorized to bind that organization and authorize access to its information.
2. Portal license
Subject to these Terms and any applicable engagement agreement, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the portal for your authorized internal business purposes. The portal is licensed, not sold. No rights are granted except those expressly stated here.
3. Accounts and authorized users
You must provide accurate account information, maintain the confidentiality of your login credentials, and use reasonable safeguards for devices that access the portal. You are responsible for activity under your account and for ensuring that each person accessing company information is authorized. Notify us promptly of suspected unauthorized access.
4. Professional services and financial information
The portal is a collaboration and reporting tool. The scope, fees, responsibilities, and deliverables for accounting, bookkeeping, tax, advisory, or other professional services are controlled by the applicable engagement letter or service agreement. Portal dashboards, automated reports, forecasts, alerts, and AI-assisted drafts may be incomplete, delayed, or based on information supplied by you or third parties. They are not a substitute for a finalized professional deliverable or advice specific to your circumstances.
5. Your information and permissions
You retain ownership of information and documents you submit. You grant us permission to host, copy, process, transmit, display, and create reports from that information as needed to operate the portal, provide contracted services, comply with law, and protect the portal. You represent that you have all rights and permissions needed to provide the information.
6. QuickBooks Online and other integrations
If you connect QuickBooks Online or another third-party service, you authorize us to access the selected account and process available information for portal services. You are responsible for selecting the correct company and maintaining authority to access it. Third-party services are governed by their providers' terms. You may disconnect QuickBooks through the portal; disconnecting revokes the connection and removes QuickBooks-derived portal snapshots and automatically generated reports.
7. Acceptable use
You may not:
- access another person's account or information without authorization;
- upload unlawful, malicious, infringing, or knowingly inaccurate material;
- circumvent security, probe vulnerabilities, or interfere with portal operation;
- reverse engineer, copy, resell, sublicense, or commercially exploit the portal;
- use automated means to extract data except through features we expressly provide;
- use the portal or its output for unlawful, fraudulent, or deceptive activity.
8. Intellectual property
The portal, its software, design, branding, documentation, and related intellectual property are owned by us or our licensors. Your organization's source records and documents remain yours. Feedback you voluntarily provide may be used by us without restriction or compensation.
9. Availability and third-party services
We may modify, suspend, or discontinue portal features and may perform maintenance without notice where reasonably necessary. Portal availability can depend on internet, infrastructure, Intuit, banking, AI, authentication, and other third-party services beyond our control. We are not responsible for a third party's acts, omissions, availability, or data accuracy.
10. Disclaimers
To the extent permitted by law, the portal is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that third-party data or automatically generated output is complete, accurate, or current. Rights that cannot lawfully be disclaimed remain unaffected.
11. Limitation of liability
To the extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Any liability arising from separately contracted professional services is governed by the applicable engagement agreement. Limitations that cannot lawfully apply remain unaffected.
12. Suspension and termination
You may stop using the portal at any time. We may suspend or terminate access for a breach, security risk, legal requirement, unpaid service obligation, end of an engagement, or discontinued portal service. Provisions that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, and liability terms.
13. Governing law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Any dispute not governed by a separate engagement agreement will be brought in a court of competent jurisdiction serving Oakland County, Michigan, unless applicable law requires otherwise.
14. Changes and contact
We may update these Terms by posting a revised version with a new effective date. Material changes may also be communicated through the portal or by email. Continued use after the effective date constitutes acceptance where permitted by law.
